3. Scope of ServicesMaintestream provides a digital platform that facilitates communication, coordination, and maintenance-related workflows for property owners, managers, tenants, Service Providers, and other stakeholders. 5. Electronic Communications; Consent to Contact5.1 Purpose and Nature of CommunicationsMaintestream sends automated electronic communications — including text messages (SMS/MMS), emails, and, if applicable, automated call notifications — to Users in connection with the Services. These communications pertain strictly to:
•Tenant maintenance request notifications, confirmations, and status updates;
•Service Provider job offers, acceptances, cancellations, and reassignments;
•Scheduling coordination, invoices, or repair estimates;
•Tenant move-out notices, new tenant applications, pre-approval applications, showings, and related notifications; and
•Platform updates or service information directly tied to Maintestream activity.
These communications are operational and transactional in nature and are not used for marketing or promotional purposes. They are sent through Maintestream’s own systems and through third-party messaging, email, and notification platforms used to deliver the Services.
5.2 Consent to Receive Electronic CommunicationsBy accessing or using the Services and providing your phone number and/or email address, you expressly consent to:
•Receive automated emails, text messages, and, if applicable, automated call notifications from Maintestream and its technology providers;
•The use of automated systems, dialing systems, and third-party messaging platforms as necessary to fulfill service obligations described in Section 5.1; and
•Receive such messages at any day and time as maintenance requests, services, and updates are submitted, forwarded, or generated by tenants, Clients, Maintestream systems, affiliates, employees, and/or technology and communications service providers.
You represent that you are the owner or authorized user of the phone number and/or email address you provide, and that you are authorized to consent to receive these communications under all applicable laws.
5.3 SMS/Text Messaging TermsBy providing your mobile phone number and opting in to receive text messages, you agree to the following:
•Consent. You consent to receive automated, transactional text messages from Maintestream related to maintenance requests, service-provider assignments, scheduling, and related account activity. Consent to receive these messages is not a condition of purchasing any property, good, or service.
•Message Frequency. Message frequency varies based on your maintenance requests and interactions with the Services.
•Charges. Message and data rates may apply, depending on your wireless carrier and service plan.
•Opt-Out (STOP). You may opt out of receiving further text messages at any time by replying STOP to any message. Once you reply STOP, Maintestream will not send you further text messages related to that program until you submit a new maintenance request through the Services, at which point you will automatically be re-enrolled to receive the transactional messages necessary to process that new request.
•Help (HELP). You may reply HELP at any time for assistance. Replying HELP does not opt you out of future messages. A Maintestream representative will follow up with you by phone call and/or text message as soon as one becomes available.
•Supported Carriers. Supported carriers may include, but are not limited to, AT&T, T-Mobile, Verizon, and other major U.S. wireless carriers. Maintestream is not responsible for delayed or undelivered messages caused by your carrier or wireless device.
5.4 Revocation of ConsentYou may revoke your consent to receive electronic communications at any time by notifying Maintestream in writing at the contact information in Section 17, or, for text messages, by replying STOP as described in Section 5.3. Maintestream will promptly honor revocation requests, except where continued communication is necessary to fulfill an active, ongoing contractual or service obligation (for example, completing an in-progress maintenance request).
5.5 Compliance RecordkeepingMaintestream maintains a log of consent records as required by the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and other applicable state and federal communications laws. Consent under this Section 5 does not, by itself, create a contractual service relationship between Maintestream and the Recipient; the underlying contractual relationship (if any) remains between Maintestream and its Client or Service Provider, as applicable. Each Recipient is responsible for promptly notifying Maintestream if their contact information changes.
6. Third-Party Services and IntegrationsMaintestream may integrate with or rely on third-party platforms, APIs, vendors, or services (including, without limitation, SMS and communications providers, diagnostic hardware, and analytics tools). You acknowledge that:
•Your use of such third-party services is governed by their respective terms and privacy policies;
•Maintestream is not liable for the actions, failures, or security of third-party providers; and
•Certain data may be shared with or received from third parties as necessary to facilitate the Services, subject to our Privacy Policy.
7. Intellectual PropertyAll content, trademarks, logos, software, and materials provided by Maintestream are the exclusive property of Maintestream or its licensors. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Services without Maintestream’s prior written consent, and you may not use Maintestream’s trademarks without express permission.
8. Service Availability and ModificationsMaintestream reserves the right to modify, suspend, or discontinue any part of the Services at any time, without notice, and without liability for doing so. We may also impose limits on or restrict access to parts or all of the Services.
9. Service Provider TermsThis Section 9 applies only to Service Providers and their companies, owners, employees, agents, contractors, subcontractors, and 1099 contractors (collectively, “Service Provider” for purposes of this Section). It does not apply to tenants, property owners, property managers, or property management companies.
9.1 Nature of the RelationshipMaintestream provides a platform for routing tenant maintenance requests to qualified independent Service Providers. By accepting maintenance job leads through the Services, the Service Provider acknowledges and agrees that:
•Maintestream is not an employer, contractor, or agent of the Service Provider or of any of its employees, agents, contractors, subcontractors, or 1099 contractors; and
•The Service Provider operates as an independent business and is solely responsible for providing its own tools, labor, licenses, insurance, and service execution.
9.2 Lead Fees and Payment Terms•Maintestream charges a lead fee of $10 to $40 per maintenance request lead sent to a Service Provider, depending on the service type and location.
•A “lead” means any maintenance request, service request, or potential lead provided to the Service Provider via Maintestream, the Maintestream platform, Maintestream employees or contractors, or Maintestream’s integrated third-party systems and communications platforms.
•Lead fees are due and payable upon receipt of a lead and will generally be billed automatically upon each lead’s submittal to the Service Provider (by text message, email, notification, phone call, automated system, or other means), unless otherwise agreed in writing. In some instances, lead fees may be billed daily, bi-weekly, weekly, bi-monthly, or monthly, depending on factors such as the quantity and rate at which leads are provided.
•Maintestream reserves the right to charge the Service Provider’s credit card or debit card on file for any and all leads provided over a given period, at any time and without notice.
•The Service Provider may dispute any lead fee charge for up to 30 days after payment. Refunds are at Maintestream’s sole discretion and are determined on a case-by-case basis. Leads are provided as is, without guarantee of job acceptance, job retention, revenue generated, revenue lost, or costs incurred.
•Maintestream reserves the right to suspend or terminate a Service Provider’s platform access at any time, without notice, and for any reason, including non-payment, failure to fulfill obligations (such as timely coordination with a tenant), malpractice, or poor reviews. A suspension or termination resulting from a poor or negative review may be disputed for up to 60 days; disputes resolved in the Service Provider’s favor will result in restored platform access within 48–72 hours of resolution.
9.3 Service Provider ObligationsThe Service Provider agrees to:
•Contact the tenant within a reasonable time — within one (1) hour — of receiving a maintenance request or lead. If no contact is made within one hour, Maintestream and/or the submitting Client reserves the right to route the same request to another Service Provider. Lead fees remain due from each Service Provider to whom the lead is sent, regardless of how many providers a request is ultimately routed to before proper and prompt tenant contact is made;
•Arrive on time, conduct itself professionally, and complete work in a competent and timely manner. If the Service Provider (or those it represents, including its employees, affiliates, contractors, subcontractors, or technicians) is not competent to perform the requested work, the Service Provider must decline the work and notify Maintestream so that another Service Provider may be assigned; and
•Abide by all applicable state and local laws regarding home repairs, safety standards, and business conduct.
9.4 Licensing, Certification, and InsuranceThe Service Provider must maintain all required licenses, certifications, and insurance applicable to its trade and must provide proof of the same upon request. Providing (or failing to provide) such proof to Maintestream does not relieve the Service Provider of its responsibility to maintain required licenses, certifications, and insurance, and the Service Provider accepts all liability associated with any failure to maintain them.
9.5 Technician Consent RequirementThe Service Provider acknowledges that all technicians, employees, contractors, and subcontractors added to Maintestream’s systems on the Service Provider’s behalf must operate a company-provided phone and cell service to remain compliant, and must complete Maintestream’s Technician Consent Form (available at maintestream.com) before being added to the Services. The Service Provider accepts all liability, loss, risk, and legal repercussions arising from its failure to ensure that its technicians, employees, contractors, or subcontractors complete and submit the Technician Consent Form.
9.6 Limitation of Liability (Service Providers)Maintestream shall not be liable for:
•Any liability, damages, losses, injuries, or disputes arising from the Service Provider’s work, negligence, malpractice, or conduct;
•Any delay, unsatisfactory work, or failure to complete services; or
•Any claim from a property owner, manager, property management company, tenant, or third party relating to the Service Provider’s work or actions (or lack thereof).
The Service Provider assumes full liability for its work and for any claims, injuries, or damages resulting from its services.
9.7 Indemnification (Service Providers)The Service Provider agrees to indemnify, defend, and hold harmless Maintestream, King Invo LLC, and their respective owners, shareholders, affiliates, and third parties from any and all claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from: (a) work performed or failed to be performed; (b) property damage, bodily injury, or death; or (c) any claim by a tenant, property manager, property owner, property management company, or third party resulting from services the Service Provider rendered.
9.8 Non-CircumventionThe Service Provider agrees not to circumvent Maintestream by directly soliciting or accepting business from property owners, landlords, tenants, property management companies, or property managers introduced through the Services, for a period of two (2) years from the date of the last interaction facilitated through Maintestream. A violation of this Section will result in immediate removal from the platform and may result in legal action.
9.9 Suspension and Termination of Platform AccessEither party may terminate the Service Provider’s participation in the Services at any time, with or without cause, upon written notice. Any unpaid lead fees remain due and enforceable after termination.
10. No WarrantiesTHE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO MAINTESTREAM, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE CLAIM. This Section 11 applies in addition to, and does not limit, the Service Provider–specific limitation of liability in Section 9.6.
12. IndemnificationYou agree to defend, indemnify, and hold harmless Maintestream, King Invo LLC, their affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party, including other Users, tenants, or Service Providers. This Section 12 applies in addition to, and does not limit, the Service Provider–specific indemnification in Section 9.7.
